MedGrocer Terms and Conditions of Use
1.1. https://medgrocer.com (“Website”) is an internet-based platform that facilitates the online sale and purchase of pharmaceutical products and services offered by Wellbridge Health Inc. (“MedGrocer”), a company duly authorized by the Food and Drug Administration (FDA) of the Philippines to operate as a retailer of such products.
1.2. By visiting the Website or by placing any orders using the Website or other ordering channels such as electronic mail, fax, or phone call, the User (whether a visitor or a customer) agrees to the Terms and Conditions for use of services hosted and managed through the Website. MedGrocer recommends that the User read these Terms and Conditions carefully before agreeing to be bound by such. If the User does not agree with any provisions, the User should stop any access of the Website and discontinue use of all other services offered by MedGrocer.
1.3. Only upon acceptance of the Terms and Conditions herein, the User shall be entitled to place a request to purchase products from MedGrocer (“Order”). Any violation of the Terms and Conditions will result in termination of the User’s account and, if a particular violation calls for it, legal action by MedGrocer.
1.4. The User must be 18 years of age or older to visit or use the Website in any manner, or to place an Order through MedGrocer’s other channels such as electronic mail, fax, or phone call. By visiting the Website or placing an Order through such channels, the User represents and warrants to MedGrocer that the User is 18 years of age or older, and that the User has the right, authority, and capacity to use the Website and agree to and abide by these Terms and Conditions.
1.5. The User agrees to comply at all times with any instructions and/or requirements for use of the Website and for ordering through channels such as electronic mail, fax, or phone call.
1.6. MedGrocer authorizes the User to access or view the content available on or from the Website solely for visiting, ordering, receiving, delivering, and communicating only as per these Terms and Conditions.
1.7. The User is responsible for using the Website in a private and secure manner. MedGrocer will not be liable for any damage or loss caused by any unauthorized account access resulting from the User’s actions, including but not limited to not logging out of the account or sharing the account password.
1.8. MedGrocer reserves the right to change these Terms and Conditions, guidelines, notices, operating rules and policies, and instructions at any time without prior notice. It is the User’s responsibility to review the such information prior to any transaction with MedGrocer.
2. MedGrocer Content
2.1. The contents of the Website, information, text, graphics, images, logos, icons, design, and the collection, arrangement, and assembly of content on the Website (collectively, “MedGrocer Content”), are the property of MedGrocer. The User shall not modify the MedGrocer Content or reproduce, display, publicly perform, distribute, or otherwise use the MedGrocer content in any way for any public or commercial purpose or for personal gain.
2.2. MedGrocer Content may communicate basic information about medications, supplements, pharmaceuticals, and other personal or health care products that may not be complete, up-to-date, or free from errors or omissions. MedGrocer may make changes or improvements at any time.
2.3. The content of the Website, including without limitation, text, copy, audio, video, photographs, illustrations, graphics and other visuals, is for informational purposes only and is not intended to be used as substitute or replacement for professional medical advice, diagnosis, treatment, or recommendations of any kind. Individual medical concerns should be consulted with qualified health care professionals before taking any form of treatment, medication, or supplement. Reliance on any information appearing on the Website is solely at the User’s own risk.
2.4. MedGrocer advises the User to always seek the advice of a doctor or any qualified healthcare professional with any questions regarding personal health or medical conditions. The User should never disregard, avoid, or delay in obtaining medical advice from a doctor or other qualified healthcare professional because of information obtained from the Website or from MedGrocer representatives.
2.5. Retail prices on the Website are subject to change without prior notice. All prices are inclusive of Value Added Tax (VAT) and are expressed in Philippine Peso. The User recognizes that pricing errors may occur, and it is the responsibility of the User to review product prices during Order Confirmation.
2.6. MedGrocer Content is provided “as is” and without warranties of any kind either expressed or implied, to the fullest extent permissible pursuant to applicable law. MedGrocer does not warrant or make any representations regarding the use of or the result of the use of the content of the Website in terms of their correctness, accuracy, reliability, or otherwise. MedGrocer also disclaims all liability resulting to loss, damage, personal injury, death, fraud, or other consequences arising from the use of the Website or services offered by MedGrocer.
3. Orders and Deliveries
3.1. ORDER PLACEMENT. To place an Order through the Website, the User must add a product to the cart and complete the checkout process. To place an Order through other channels, the User must contact MedGrocer by means of electronic mail to email@example.com, or by SMS / Viber / WhatsApp to 0915 905 0555.
3.2. ORDER PROCESSING. Orders are processed from Monday to Friday (“Business Days”), from 10AM to 6PM only. Orders placed beyond this schedule are processed on the nearest Business Day. All orders received by MedGrocer are subject to order processing by a MedGrocer Pharmacist.
3.3. ORDER CONFIRMATION. After Order Processing, the User shall expect a call from a MedGrocer representative to confirm Order details such as product/s ordered and respective dosage form, strength, and quantity. Delivery information such as the User’s name and address shall also be verified. The User shall be responsible for ensuring the accuracy of the Order and Delivery details. MedGrocer shall not be obliged to dispense any products until the Order has been confirmed.
3.4. ORDERS WITH PRESCRIPTION PRODUCTS. Order Processing includes authentication of prescription when requesting to purchase products that require them. The User must have a prescription from a registered medical practitioner, a copy of which should be sent through electronic mail to firstname.lastname@example.org, sent through online applications such as Viber, WhatsApp, or Facebook Messenger, or provided at the time of delivery of the pharmaceutical product/s. Prescription products are dispensed only after a prescription given by a registered medical practitioner has been received or presented. MedGrocer maintains a record of all the prescriptions sent or provided by the User which can be accessed by such User at request and, subject to applicable laws, may also be used to reorder the prescribed medicines.
3.5. Notwithstanding the receipt of any Order Confirmation, whether via electronic mail, phone call or otherwise, it is understood by the User that the delivery of the products included in the Order and receipt of the payment corresponding to the same, shall constitute the sole act of final acceptance by MedGrocer of such Order. Verification of any additional information may be required prior to acceptance or delivery.
3.6. DELIVERY SCHEDULE. From the time of successful Order Confirmation, the User may expect a MedGrocer Pharmacy Assistant to deliver the purchased products within the next 24 to 48 hours. Inclement weather, natural calamities, and other events beyond MedGrocer’s control may affect the delivery schedule.
3.7. DELIVERY AREA COVERAGE. MedGrocer accepts Orders to be delivered within the Metro Manila area only.
3.8. DELIVERY RECEIPT. Purchased products are dispensed in sealed packages prior to delivery. Upon receipt of the package, it is the User’s or an authorized representative’s responsibility to inspect the packaging to ensure that it has not been tampered with. To acknowledge receipt of the package, the User or authorized representative shall be asked to sign a delivery receipt.
3.9. PAYMENT. The User agrees to pay all fees and charges incurred in connection with the Order, including any and all applicable taxes, at the rate in effect when the charges were incurred. The full payment may be collected by the MedGrocer Pharmacy Assistant upon delivery or may be made through payment platforms such as PayPal, Dragonpay, and AsiaPay. However if applicable, User may also opt to give his/her employer-company or healthcare provider the authority to deduct the fees and charges incurred in connection with the Order from his/her salary or benefits.
3.10. ORDER CANCELLATION. If the User wishes to cancel an Order prior to dispensing, a notice must be sent to the MedGrocer hotline, 0915 905 0555. MedGrocer, however, reserves the right to refuse cancellation in the case that the Order has already been dispensed or dispatched for delivery prior to the receipt of the User’s request to cancel.
3.11. MedGrocer reserves the right, in its sole discretion, without limitations and/or conditions, to refuse any service to any customer for any reason attributable to the unavailability of the products ordered, or other circumstances and conditions beyond the control of MedGrocer which would delay or render impossible the fulfilment of its obligations.
4.1. Any pharmaceutical product with physical defects, damages, or tampering has a return period of up to ten (10) business days from receipt of the product/s. It is the User’s responsibility to report receipt of such product/s to email@example.com or to 0915 905 0555. The User cannot send the product/s back to MedGrocer until the report has been validated. A MedGrocer Pharmacy Assistant will retrieve such product/s and replace them with new stocks of the product/s.
4.2. Any prescription medicine that has been incorrectly dispensed (incorrect product, dosage strength, or quantity) has a return period of up to ten (10) business days from receipt of the product/s for as long as the original packaging of the product has not been tampered with. It is the User’s responsibility to report receipt of such product/s to firstname.lastname@example.org or to 0915 905 0555. The User cannot send the product/s back to MedGrocer until the report has been validated. A MedGrocer Pharmacy Assistant will retrieve such product/s and replace them with the correct product/s, dosage strength, or quantity.
4.3. Promotional returns programs may be implemented by MedGrocer during certain campaigns. These may include special returns and refunds with specified criteria for eligibility.
4.4. In the case that MedGrocer cannot replace the returned product/s due to unavailability, MedGrocer may refund the value of the order in the form of Store Credit.
5. Promotional Coupons and Store Credit
5.1. Promotional Coupons, in the form of codes, may be issued by MedGrocer from time to time during certain promotions. These may include discounts and free products or services. Store Credits are also issued for certain promotions or client programs, or in exchange for returned items.
5.2. Promotional Coupons and Store Credits may be used as payment for products purchased from MedGrocer, whether through the Website, electronic mail, mobile applications, or mobile phone.
5.3. MedGrocer may email Promotional Coupon and Store Credit codes to the User. MedGrocer, however, accepts no liability for errors in the email address of the recipient. MedGrocer assumes no liability for the loss, theft, or ineligibility of Promotional Coupons and Store Credit.
5.4. In the event of fraud, an attempt at deception, or in the event of the suspicion of other illegal activities in connection with a Promotional Coupon or Store Credit purchase, MedGrocer is entitled to close the User’s account and/or require a different means of payment.
5.5. Promotional Coupons and Store Credits are valid for the specified period stated on them only, can only be redeemed a specified number of times, and cannot be used in conjunction with other promotional coupons. Individual products may be excluded from certain promotions.
5.6. Promotional Coupons and Store Credits may not be used in conjunction with government mandated discounts, such as senior citizen’s discount or PWD discount, unless otherwise specified by the promotion’s mechanics.
5.6. If the User places an Order for a product less than the value of the Promotional Coupon or Store Credit, no refund or residual credit will be returned to the User.
5.7. The credit of a Promotional Coupon or Store Credit does not accrue interest nor does it have a cash value.
5.8. The value of the Promotional Coupon or Store Credit covers only the price of the products in the Order. Any additional fees and charges incurred in connection with the Order, including delivery fee and additional taxes, shall be paid by the User.
5.9. If the credit from the Promotional Coupon or Store Credit is insufficient for the Order, the User may make up the difference through payment.
6. Account Registration
6.1. To start a MedGrocer account, the User would need to register on the “My Account” page of the Website or at https://medgrocer.com/sign-up. The User can also be granted an account by placing an order through other MedGrocer ordering channels.
6.2. Information that uniquely identifies the User (“Personal Information”) will be collected to set up an account. The User’s full name, email address, and mobile number are required to successfully register. For a complete account, MedGrocer may also collect other Personal Information, including but not limited to delivery address, date of birth, and gender. MedGrocer will only be able to collect Personal Information voluntarily submitted. If the User chooses not to submit or subsequently withdraw consent to use the Personal Information, MedGrocer may not be able to provide the User with MedGrocer’s services.
6.3. Providing information of any third party to MedGrocer assumes that the User has obtained the required consent from the relevant third party to share and transfer the Personal Information to MedGrocer.
6.4. Any accounts registered with someone else’s Personal Information may be closed without notice. MedGrocer reserves the right to collect documentation to verify any information submitted if it is believed that the User has been using invalid Personal Information.
6.5. The User must keep the account details private. The User agrees that any person whom the username or password is disclosed to is authorized to act as the User’s agent for the purpose of using (and/or transacting via) the User’s account. The User is entirely responsible for the confidentiality of the account information.
7.1. MedGrocer is also responsible for maintaining and protecting any Personal Information under its control. MedGrocer ensures that all information collected will be safely and securely stored.
7.2. The Personal Information MedGrocer collects from the User will be used, or shared with third parties (including related companies and third party service providers) for some or all of the following purposes:
a) to facilitate the the use of services and/or access to the Website,
b) to process Orders,
c) to deliver products purchased,
d) to update the User on the status of the Order,
e) to compare information and to verify if such information is accurate,
f) to administer an account with MedGrocer, audit Users’ demographics and behavior, provide information MedGrocer deems might be useful for the User or information the User requested (including information from third parties),
g) to send marketing and/or promotional materials about MedGrocer’s or third party’s products and services from time to time and to send newsletters from MedGrocer or other related companies,
h) and in exceptional circumstances, to disclose Personal Information when there are grounds to believe that the disclosure is necessary to prevent a threat to life/health, for law enforcement purposes, or for fulfillment of legal and regulatory requirements or requests.
If, for any reason, the User’s Personal Information is required to fulfill a different purpose, MedGrocer will notify the User and ask for consent.
7.3. Information that could identify a User personally will not be collected upon visiting the Website unless the User chooses to provide information voluntarily. Users are welcome to browse the Website at any time anonymously and privately without revealing any Personal Information.
8. Limitation of Liability
8.1. MedGrocer shall not be responsible or liable in any manner to the User for any losses, damage, injuries, or expenses incurred by the User as a result of any actions or decisions taken as a result of using the Website or services offered by MedGrocer
8.2. In no event shall MedGrocer, or any of its directors, officers, employees, agents, or content or service providers be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from, or directly or indirectly related to the use of or the inability to use the Website or the content, materials, and functions relations thereto and the User’s provision of information via the Website. In no event shall such be liable for lost business or lost sales, even if the User has been advised of the possibility of such damages. In no event shall MedGrocer be liable for any content posted, transmitted, exchanged, or received by or on behalf of any User or other person on or through the Website.
8.3. PRODUCTS ON MEDGROCER. MedGrocer follows the stringent requirements of the Food and Drug Administration (FDA) in terms of storage, handling, and dispensing of the products. MedGrocer is therefore not liable for any damages (side effects, adulteration, etc.) related to the use of any products offered.
8.4. THIRD PARTY WEBSITES. The Website may be linked to the website of third parties, affiliates, and business partners. MedGrocer has no control over and accept no responsibility for the content of any site to which a link from the Website exists. Such linked sites are provided “as is” for the User’s convenience with no warranty, express or implied, for the information provided within them. Inclusion of any link on the Website does not imply that MedGrocer endorses the linked site. The User may use the links and these services at the User’s own risk. The User must not, without permission from MedGrocer, frame any of the Website onto another website.
